Headstrong Internet Services Ltd Terms of Use ("Terms of Use") are defining the conditions under which you may access and use services provided by Headstrong Internet Services Ltd and all the associated functionalities provided (hereinafter designated together the “Service”).

By accessing or using the Service or by logging into the Service with your allocated User ID, you accept these Terms of Use and that you agree to be bound by and comply with them. The User undertakes to have legal ability and means required to access and use the Service and acknowledges to have read, understood and accepted without limitation or reservation the Terms of Use, which apply in addition to the Privacy Policy.

These Terms of Use are available here. We recommend that you print a copy of these terms for future reference.

Please review these Terms of Service carefully prior to using the Service. If you do not agree with these Terms of Use, you must not use the Service.

Definitions

  • Data Protection Law: means the Data Protection Act 1998, the Data Protection Act 2018, the General Data Protection Regulation ((EU) 2016/679) as it has effect in EU law, or the UK GDPR as defined in section 3(10) and section 205(4) of the Data Protection Act.
  • User Account: means a dedicated online account opened by any visitor and providing an access to the Service.
  • Identifiers: means login and password or social login the User used to create the User Account.
  • Party or Parties: means the User and The Supplier designated either individually or collectively.
  • Service: means Headstrong Internet Services Ltd and all the functionalities provided thereto and described in the Terms and Conditions.
  • Service Content: any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, works of authorship, applications, links, and other content or materials made available during the Service.
  • User or Users: means any person authorised by The Supplier to access and use of the Service after creation of a User Account.
  • User Content: any content created, posted, or shared by the User, on or through the Service including any information, data, photos and other content relating to the User.

Term

The Terms of Service will come into effect on first access to the Service for the entire duration of use.

Description of the Service

The Service comprises a suite of online services provided by The Supplier, allowing the User to:

These Terms of Service govern the use of each component of the Service.

Access to the Service

Access to the Service shall be subject to the creation of a User Account.

Requirements for the access to the Service

The User must ensure to have (the “User's System”):

  • The ability and means required to access the Services and to use it;
  • The appropriate hardware (computer, smartphone etc) and operating software and shall carry out the responsibility of the maintenance and the security;
  • An Internet access from any access provider of the User's choice;
  • A suitable web browser.

Users shall bear all the costs for accessing the Service.

Creation of the User Account

Creation of a User Account shall require the entering of personal identification data through the online registration form.

The User shall enter User personal identification data (such as name, surname, username and email) and is invited to choose its Identifiers.

The User agrees to provide only accurate and complete information when creating or updating his/her Account information.

Access modalities

In order to benefit from the Service, the User must log-in using the credentials used to create the User Account. Identifiers are personal and confidential. The User is responsible for keeping it secret and must not disclose it to any third party in any form and for any reason whatsoever.

The User's login can only be changed at the request of the User or at the initiative of the Supplier. The User's password is modifiable by the User through the User's Account. If the User forgets her/his password, the User can generate a new one by clicking on the link “Reset my password” available via the primary login screen.

The User is solely responsible for the activity that occurs on its User Account and will be responsible to keep their Identifiers secure and for the use of their Identifiers by third-parties or for any actions or declarations made through his User Account, whether fraudulent or not, and guarantees The Supplier against any request in this respect.

If the User has reason to believe that a person is fraudulently using identification elements or his User Account, she or he must promptly inform The Supplier by e-mail.

The User is solely responsible for the improper access, damage, disruption, loss or theft and adverse consequences caused by its breach of the confidentiality of the Identifiers. In case of loss, misappropriation or unauthorised use of its password, the User must promptly notify The Supplier.

Users may not use another User's account without written permission from the Supplier. A User Account may not be shared, transferred, or sold to other parties, nor are they to be used by or made available to any person or entity except the registered User.

The Supplier has the right to disable any User Account or Identifiers or password, whether chosen by the User or allocated by the Supplier, at any time if, in the Supplier’s reasonable opinion, the User has failed to comply with any of the provisions of these Terms of Use.

Cost of the Service

The Service is available for free of charge (excluding any connection costs, whose price depends on the User’s electronic communication service provider).

Certain services, events, memberships or groups may require a fee, however general access to the service is without charge.

The Supplier does not guarantee that the Service, or any content on it, will always be available or be uninterrupted. The Supplier may suspend or withdraw or restrict the availability of all or any part of the Service for business and operational reasons. The Supplier will try to give the User reasonable notice of any suspension or withdrawal.

Intellectual property

The Service and the Service Content belong and shall remain the property of The Supplier or its licensors as appropriate, and is protected by copyright, patent when applicable, trade secret and other intellectual property laws. All such rights are reserved.

The User shall not acquire any of such rights title and interest (including, without limitation, all intellectual property rights such as copies, modifications, extensions and derivative works thereof) and the User shall take all necessary measures to this effect. All rights not expressly granted to Users are reserved and retained.

Any reproduction, representation, distribution, modification, adaptation or translation of these various Service Content, in whole or in part, in any form and current or future medium is strictly prohibited, except within the limit of the Terms of Use or with prior express authorisation of The Supplier. Any use of these Service Content not expressly authorised by The Supplier shall constitute a violation of the Terms of Use and a violation of intellectual property rights.

Except as specifically permitted by these Terms of Use, a User may not use or register any name, logo, brand or insignia of The Supplier or Headstrong Internet Services Ltd or any of its trading names or subdivisions for any purpose except with The Supplier's prior written approval and in accordance with any restrictions required by The Supplier. These are the property of The Supplier or are subject to rights to use, duplicate or represent/communicate to the public that have been granted to such.

The Supplier is the producer of databases on Headstrong Internet Services Ltd and the Supplier is the owner of any databases made available. The User shall not extract or reuse any qualitative or quantitative content from the databases, including for any private purpose.

The User must not use any part of the Service Content for commercial purposes without obtaining a licence to do so from the Supplier or the Supplier’s licensors.

If the User prints off, copies, downloads, shares or reposts any part of the Service Content in breach of these Terms of Use, the User’s right to use the Service will cease immediately and the User must, at the Supplier’s option, return or destroy any copies of the materials that the User has made.

User's right of use

The Supplier grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service for User's personal, non-commercial purposes. The User may only use Headstrong Internet Services Ltd on devices that User owns or controls. The User may use the Service and the Service Content only in the manner and for the purposes specified in these Terms of Use. Except as specifically permitted by these Terms of Use, the User may not modify, transmit, produce, distribute, display, sell, license, broadcast, or otherwise make available in any form or by any means any part of the Service or the Service Content without the express written permission of The Supplier.

In connection with the use of the Services and Service Content or User's Content, the User is not authorised to, or cannot allow a third party to:

  • violate any applicable laws, rules or regulations, notably cause damage or injury to any person or property, infringes any rights of third parties including but not limited to any intellectual property rights and privacy rights or perform any other illegal, harmful or fraudulent activities;
  • probe, scan, or test the vulnerability of any system or network;
  • remove, circumvent, disable, damage or otherwise interfere with any security measures of any network, computer or communications system, software application, or network or computing device;
  • attempts to connect without permission and/or damage, in any way whatsoever, any users, hosts or networks;
  • disturb, hamper, interfere or interrupt the access to or operation of the Service and Service Content including by transmitting any worms, viruses, spyware, malware or any other code of a destructive or disruptive nature.

User's undertakings

The User represents and warrants that they retain ownership of all of their intellectual property rights in the User Content or that this User Content is subject to a license granted to the User by a third party holding these rights, under conditions allowing the User to freely use and/or transfer these elements for the purpose of using the Service, under the conditions described in the Terms and Conditions. The Supplier does not claim ownership of the User Content.

The User holds the Supplier harmless from, and without liability for, all and any claims or actions brought by third parties on the grounds of an infringement of their rights, including, without limitation, publicity rights, copyrights, trademark and/or other intellectual property rights or privacy rights in the User Content.

By using the Service, the User represents and warrants that they have the legal right and capacity to enter into these Terms of Use in the User's jurisdiction.

The User warrants to be at least 18 years of age, to use the Service and to enter into and comply with these Terms of Use.

When a User uploads or posts User Content to the Service, the User grants the Supplier the following rights to use that content:

  • a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that User Content in connection with the Service and across different media including to promote the Service forever.

User's rules of conduct

The User shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to the Service. This includes using (or permitting, authorising or attempting the use of):

  • Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Service or any data, content, information or services accessed via the same.
  • Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

The provisions in this clause should be treated as an express reservation of the Supplier’s rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790).

This clause shall not apply insofar as (but only to the extent that) the Supplier is unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to the Supplier.

The User may not post content which includes, but is not limited to: (i) sexually explicit materials; (ii) obscene, misleading, libelous, slanderous, violent, hateful and/or unlawful content or profanity; (iii) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent; (iv) content that promotes the use or sale of illegal or regulated substances, tobacco products, ammunition and/or firearms; and (v) gambling, including without limitation, any online casino, sports books, bingo or poker (“Objectionable Content”)via the Service.

The User may not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate people or entities and must not post private or confidential information via the Service, including, without limitation, the User or any other person's credit card information, social security or alternate national identity numbers, non-public phone numbers or non-public email addresses.

The User must not create accounts with the Service through unauthorised means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper.

The User must not attempt to restrict another User from using or enjoying the Service and must not encourage or facilitate violations of these Terms of Service.

The User may only make non-commercial uses of the Service and Service Content. Use of Service or the Service Content for any commercial, public or political purpose is strictly prohibited. Prohibited activities include, but are not limited to: (1) activities that are illegal or fraudulent; (2) use that inaccurately implies endorsement, approval, or sponsorship by The Supplier (or any individual officer or employee of Headstrong Internet Services Ltd); (3) use that can be confused with official communications of the Supplier or its officers or employees; and (4) print or electronic mass mailings (sometimes known as "spamming"), solicitations for commercial services.

The User warrants that any contribution and User Content complies with these Terms of Use, and the User will be liable to the Supplier and indemnify the Supplier for any breach of that warranty. This means the User will be responsible for any loss or damage the Supplier suffers as a result of the User’s breach of warranty.

Any content the User uploads to the Service will be considered non-confidential and non-proprietary. The User retains all of their ownership rights in their User Content, but the User is required to grant the Supplier and other Users of the Service a limited licence to use, store and copy that User Content and to distribute and make it available to third parties.

The Supplier also has the right to disclose the User’s identity to any third party who is claiming that any content posted or uploaded by the User to the Service constitutes a violation of their intellectual property rights or of their right to privacy.

The Supplier has the right to remove any User Content a User makes on the Service if, in the Supplier’s opinion, the User Content does not comply with the content standards set out in these Terms of Use.

If a User wishes to contact the Supplier in relation to content that they have uploaded to the Service and that the Supplier has taken down, please email us.

The User is solely responsible for securing and backing up the User Content.

The User must not upload any material that could incite a terrorist offence, solicit any person to participate in terrorist activities, provide instruction on any method or technique for committing a terrorist offence or threaten to commit a terrorist offence.

Reporting and moderation

In order to ensure the Service provides the best experience possible for everyone, if a User sees any inappropriate content, she or he must use the “Report as offensive” feature found under each post.

If a User becomes aware of any material that could comprise or be connected to child sexual abuse or exploitation or that could comprise terrorist content or be connected to terrorism, please contact the Supplier immediately on [email protected].

The Supplier has no general obligation to monitor User Content nor to investigate whether facts or circumstances are revealing illicit activities. The Supplier has set up a reporting tool allowing any User to notify illegal, abusive and harmful content.

The knowledge of such content is deemed effective when the hosting provider is notified of following:

  1. The notification date;
  2. The notifying User identity;
  3. The description of the facts in contention (possibly with screen shots of the content);
  4. The reasons for which the content must be removed.

If a User Content is reported, The Supplier reserves the right to withdraw the reported content and/or suspend or terminate the User Account of the User having originally published the reported content.

Termination, suspension, or revocation of access

Deletion of the Account by the User

At any time, the User may delete its User Account by contacting the Supplier at the address or email address mentioned at the beginning of these Terms of Use.

Deletion is effective immediately and all the data collected upon the subscription as well as the User Content on Headstrong Internet Services Ltd is deleted after a period of 30 days.

Suspension or termination of the Account by The Supplier

The Supplier retains the right to suspend a User's access to the Service to make all investigations necessary following a report made about User Content or in case of a breach, or presumed breach, of the Terms of Use which may be remedied. The User whose User Account is suspended will be informed by the Supplier of such a decision by email. The User has the possibility send an email to the Supplier to obtain additional information on the reasons for the suspension as well as to provide explanations and/or any element in order to demonstrate that the breach has been remedied. If the violation of Terms of Use is not remedied within one (1) month from suspension notification, Headstrong Internet Services Ltd reserves the right to terminate the applicable User's Account and their right to use the Service, in addition to any other rights or remedies available.

Deletion of inactive User Account

The Supplier will delete inactive accounts after a continuous period of 2 years if the User has not used Headstrong Internet Services Ltd. The User will be informed by email of the deletion of their Account subject to prior notice of 2 weeks allowing the User to object to such deletion.

Privacy; Confidentiality

By using the Service, User's personal data, in the meaning of Data Protection Law, may be collected and processed by The Supplier, in compliance with the Supplier's Privacy Policy and the Cookie Policy, (collectively, “Privacy Policies”).

The Supplier will treat User Content as confidential information in accordance in accordance with these Terms of Use and the Privacy Policies.

Limitation of Warranty and Liability; Indemnification.

The Supplier does not exclude or limit in any way their liability to a User where it would be unlawful to do so. This includes liability for death or personal injury caused by the Supplier’s negligence or the negligence of the Supplier’s employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

The Supplier is not responsible for the User's device compatibility nor if the User is unable to connect due to any technical problem related to the Internet network or a failure in the User's computer facilities and equipment.

The Supplier shall not be responsible for User's System nor any problems arising from or related to User's System or caused by the Internet. User is responsible for the security of the User System and the security of its access to and connection with the Services.

Insofar as it has not been reported, any document, information, data, or elements available via the Service, including User Content (“Information”) is provided without any guarantees, notably that the Information is comprehensive or accurate.

The Service Content is provided for general information only. It is not intended to amount to advice on which the User should rely. The User must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the Service Content.

Although the Supplier makes reasonable efforts to update the Service, the Supplier makes no representations, warranties or guarantees, whether express or implied, that the Service Content is accurate, complete or up to date. Under no circumstances does the Supplier accept liability for injury arising from reliance on the said Information, its use or use of a product to which it refers.

This Service includes information and materials uploaded by other Users of the Service. This information and these materials have not been verified or approved by the Supplier. The views expressed by other Users on the Service do not represent the Supplier’s views or values.

The User is solely responsible for all User Content posted, and assumes all risks relating to its use by others and others' reliance on its accuracy. The User acknowledges that, following the publication of the any User Content, its information will become accessible to all the Users on the Service and that as such, same information will be published, modified, translated, reproduced in any form and accessible, saved and reproduced by other Users and the Supplier. The Supplier will have no responsibility or liability in connection with the User Content.

The Supplier expressly excludes any liability for events of any kind that may occur during any meeting organised between Users within the use of the Services.

If you are a business User:

  • The Supplier excludes all implied conditions, warranties, representations or other terms that may apply to our Service or any content on it.
  • The Supplier will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    • use of, or inability to use, the Service; or
    • use of or reliance on any content displayed on the Service.
  • In particular, the Supplier will not be liable for:
    • loss of profits, sales, business, or revenue;
    • business interruption;
    • loss of anticipated savings;
    • loss of business opportunity, goodwill or reputation; or
    • any indirect or consequential loss or damage.

If you are a consumer User:

  • You agree not to use the Service for any commercial or business purposes, and the Supplier has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

If defective digital content that the Supplier has supplied, damages a device or digital content belonging to you and this is caused by the Supplier’s failure to use reasonable care and skill, the Supplier will either repair the damage or pay you compensation. However, the Supplier will not be liable for damage that you could have avoided by following the Supplier’s advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by the Supplier.

The Supplier does not guarantee that the Service will be secure or free from bugs or viruses.

The User is responsible for configuring their information technology, computer programmes and platform to access the Service. The User should use virus protection software.

The User must not misuse the Service by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. The User must not attempt to gain unauthorised access to the Service, the server on which the Service is stored or any server, computer or database connected to the Service. The User must not attack the Service via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, a User would commit a criminal offence under the Computer Misuse Act 1990. The Supplier will report any such breach to the relevant law enforcement authorities and the Supplier will co-operate with those authorities by disclosing the User’s identity to them. In the event of such a breach, the User’s right to use the Service will cease immediately.

Hypertext links

Headstrong Internet Services Ltd and the Supplier may provide links to websites operated by third parties or other internet sources/networks, as well as data/information coming from third-party servers. The Supplier does not endorse or accept responsibility for the content or the use of third-party websites and cannot be held liable for any damage following or in relation with use or the fact of having trusted the content/data/results available on such third-party servers, external sources or internet sites.

If a User uses third-party sites or content from third-party servers, the User does so solely at User's own risk. Links should not be interpreted as approval by the Supplier of those linked websites or information you may obtain from them. The Supplier has no control over the contents of those sites or resources.

Miscellaneous

Governing Law and jurisdiction.

These Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims), are governed by the laws of England. The User and the Supplier both agree to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

Change of Terms of Use

These Terms of Use are subject to change from time to time. Any changes will be posted to this page. Every time the User wishes to use the Service, the User must check these Terms of Use to ensure that they understand the Terms of Use that apply at that time.

Change of the Service

The Supplier may further develop or modify the Service or the Service Content to improve its quality. The User will be given reasonable notice of any major development/modification following implementation.

The Supplier may transfer this agreement to someone else

The Supplier may transfer their rights and obligations under these Terms of Use to another organisation. The Supplier will always tell you in writing if this happens and will ensure that the transfer will not affect the User’s rights under the contract.

Severability; Entire Agreement.

Except in the case of invalidity of an essential clause, if any provision of these Terms of Use is held to be invalid or unenforceable, that provision, to the extent unenforceable, shall be struck, and shall not affect the validity or enforceability of the remaining provisions. These Terms of Use, including the Privacy Policies, set forth the entire understanding and agreement between the User and the Supplier.
